Annual Continuing Disclosure

At Arizona Municipal Statistics, LLC, we provide all clients with individualized continuing disclosure reports that ensure compliance with SEC Rule 15c2-12. We not only create the required reports but also have the capability to file on the issuers’ behalf.

5-Year Look-Back Compliance Summary Reports

Arizona Municipal Statistics, LLC provides issuers and interested third parties with a Comprehensive 5-Year Look-Back of all disclosure filings for the past five years. This summary report includes confirmations from EMMA and a link to the publications on the EMMA website. Additionally, this comprehensive summary report can be provided to potential investors as proof of compliance.

Event Filing Notices

Under Rule 15c2-12, issuers must submit Annual Disclosure Reports and are also responsible for filing Event Notices for 16 mandatory triggering events and 10 additional/ voluntary events. These Event Notices alert stakeholders to developments that could affect bond repayment, such as principal/interest payment delinquencies, bond calls (early redemptions), defeasances (bond refunding), among others.

Monitoring of Ratings

Under Rule 15c2-12, issuers must monitor their bond and insurer ratings. If a rating changes, the issuer is required to submit a notice to the EMMA platform within 10 business days. Arizona Municipal Statistics assists with compliance by tracking ratings and, in coordination with the issuer or its municipal advisor, submitting the notice to EMMA on the issuer’s behalf.

General Obligation Bond Summary Reports

Designed for municipal organizations going through a transition period. For example, if a school hires a new superintendent, CBO, etc., or a new board member is elected, this report is meant to provide a high-level overview of the current General Obligation Bond Program.
